Right-sized technology and transformation, pre-deal to verified value
One senior team, one findings register, from diligence through SPA, TSA and integration. We remove the handover gap that destroys synergy capture, and price our fee against the outcome.
The method
The RCK framework
Our name is our method. Hypothesis-led and evidence-based, built to convert findings into commercial leverage. Every key finding has one of four homes: closed before signing, written into the SPA, designed into the TSA, or placed on the Day-1 backlog.
Six playbooks, one methodology
Calibrated by sector and deal type
Each playbook scores controls one to five and quantifies the key findings, so the output maps straight to price, terms and the Day-1 plan.
Commercial & Strategic
Market thesis, customer concentration, pricing power, plan credibility and synergy realism.
Price defence · Walk-away triggers
Operations
Operating-model design, process re-engineering, service delivery, performance and governance.
Operating model · Service uplift
People & Cultural
Workforce profile, key-person dependency, leadership depth, cultural fit and retention design.
Retention · Day-1 readiness
Technology & Cybersecurity
Architecture, application disposition, identity, NIST CSF controls and ransomware resilience.
Migration cost · Cyber exposure
Procurement & Supply Chain
Strategic sourcing, supplier concentration, resilience, S&OP and third-party risk.
Savings · Concentration risk
TSA Design & Carve-Out
Day-1 readiness, Excluded Services, Reverse TSA, stranded cost and exit milestones.
Day-1 risk · Stranded cost
Across the deal lifecycle
The same team, from diligence to value
RCK applies the methodology and the six playbooks at every stage. The same associates carry findings from diligence through SPA, TSA and integration.
Due diligence
Pre-LOI to signing
Hypothesis-led fieldwork and red-team challenge inform price, terms and walk-away.
3-15% price chip · deal-breakers surfaced
Pre & post-deal
Signing to Day-1
SPA and disclosure inputs, conditions precedent, and Service Manager cover across every TSA schedule.
100% consent · Day-1 in 12 weeks
Carve-out & TSA
Day-1 to TSA exit
Excluded Services discipline, Reverse TSA scoping, stranded-cost detection and milestone exit.
10-20% TSA saving · ~18-month exit
Value creation
Day-100 to full state
Integration, synergy capture and operating-model migration, tracked against the original thesis.
20-40% synergy · EBITDA uplift
Why one team wins
The handover gap, closed
The standard model
- Four advisors, four reports, four handovers
- Findings reinterpreted at each stage, or lost
- Day-1 plan rebuilt from scratch post-close
- Synergy capture lags the deal plan
The RCK model
- One team, one findings register, no handover gap
- Findings carry into SPA warranties and indemnities
- TSA design flows from the same register
- Same associates lead Day-1 and integration
AI orchestration
AI run-cost & governance
Turn ungoverned AI spend into a governed, owned operating model. One destination, two entry points: install governance before spend compounds, or contain runaway cost, attribute it, and retire the waste.
Diagnose
Score the estate from L1 to L5 across eight workstreams and rate cross-functional risk by owner. The lowest score names the gap.
Govern
Install a tiered model gateway, per-engineer caps and full attribution, mapped to NIST AI RMF and ISO/IEC 42001.
Implement
Sequence six recalibrations across 30, 90 and 365 days, each with a named owner, an exit gate and the P&L row it moves.
Tools are bought at L2. Ownership is earned at L4. The cost hides in the gap between them. Read the article →
Independent assurance
Cloud ERP programme assurance
Independent, client-side assurance for SAP, Oracle, Microsoft Dynamics and Workday, run structurally separate from the integrator. The SI delivers configured software; everything above the line of config is yours, and that is the gap we close.
Interim management
A senior operator in the seat
When a programme needs leadership from inside the business, we place a partner in the role for three to eighteen months. They lead the carve-out, the Day-1 stand-up, the integration or the turnaround, hold the accountability, and hand over a running operation. Outcome-linked terms apply, so an interim is measured on what lands, not on time served.
Roles we take
- Interim CIO or CTO for IT-led carve-outs and ERP recovery
- Interim COO or programme director for integration and Day-1
- Interim CFO or CRO for turnaround and distressed situations
- Fractional CxO leadership for firms navigating major change
How we staff engagements
Partner-led, senior-heavy, shaped to the tier
The named partner who scopes the engagement is the partner who delivers it. Team size is calibrated to the deal.
Ways to engage us
Advisory, interim, or fractional
One outcome-linked model, three ways to bring it in, sized to what the mandate needs.
Advisory & consulting
Scoped, outcome-linked engagements: diligence, assurance and the plan a board can act on, with a percentage of the fee tied to milestones you verify.
Interim management
A senior operator in the seat for three to eighteen months, from carve-out and Day-1 to integration and turnaround.
Fractional / Virtual CxO
Experienced CEO, COO, CTO, CFO or CHRO leadership as and when needed, without the full-time cost, for firms navigating significant change.
Scope your engagement
Tell us the deal or the programme, and we will size a partner-led team to it and mobilise within 48 to 72 hours.
